A sound-proof panel is equipped with front plate, damping layer 4 formed inside the front plate, hollow layer 3 and plate-like foamable concrete layer 1 susequently from the outside. In that case, the front plate is provided with an overhanging section 5b extended toward the foamable concrete layer 1 from the end of a plane section, and an elastic member 2 bearing the foamable concrete layer 1 on the overhanging section 5b at the peripheral section is provided between the overhanging section 5b and foamable concrete layer 1. Then, the viscoelastic damping layer 4 is applied to the front plate as a damping material, and sound absorption and sound insulation efficiency can be promoted by mounting the foamable concrete layer 1 on the front plate through an elastic member as a vibration isolating material.
