To provide a semiconductor memory being excellent in a read-out characteristic.
In an EEPROM in which multi-values data are made to be stored by setting plural write states with respect to a memory cell 101, a cell for reference 3 having the same dimension and shape as those of the memory cell 101 and a comparator device 6 comparing a signal equivalent to a current value flowing through the memory cell 101 with a signal equivalent to a current value flowing through the cell for reference 3 to output the compared result are provided. The comparator device 6 is constituted of plural differential amplifiers 7-13 respectively having different distinguishing threshold values. Moreover, an output decoder 19 discriminates data values by decoding outputs from respective differential amplifiers 7-13.
